Terms of Service

1. Acceptance of Terms

By accessing or using the KryptoSwiss platform (“Platform”), including any associated websites, APIs, mobile applications, and services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must immediately cease using the Services.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and KryptoSwiss Investment SA (“KryptoSwiss,” “we,” “us,” or “our”), a company incorporated under the laws of Switzerland with its registered office in Geneva.

2. Eligibility

To use the Services, you must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) and have the legal capacity to enter into binding contracts. By creating an account, you represent and warrant that you meet these eligibility requirements.

The Services are not available to residents of jurisdictions where cryptocurrency trading is prohibited or restricted by law. It is your sole responsibility to determine whether your use of the Services complies with applicable laws in your jurisdiction. KryptoSwiss reserves the right to restrict access to users in certain jurisdictions at its discretion.

3. Account Registration

To access certain features of the Platform, you must register for an account by providing accurate, current, and complete information as prompted during the registration process. You agree to maintain and promptly update your account information to keep it accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication codes. You agree to accept responsibility for all activities that occur under your account. You must notify KryptoSwiss immediately of any unauthorised use of your account or any other breach of security.

KryptoSwiss may require you to complete identity verification (KYC) procedures before granting full access to the Services. Failure to complete verification may result in limitations on your account functionality or suspension of your account.

4. Trading Services

KryptoSwiss provides a platform for the trading of digital assets on the Solana blockchain. All trades are executed on a best-effort basis, and KryptoSwiss does not guarantee the execution of any order at a specific price or within a specific timeframe.

You acknowledge and agree that:

• digital asset prices are highly volatile and may fluctuate significantly;
• past performance is not indicative of future results;
• trading digital assets carries substantial risk of financial loss; and
• you are solely responsible for your trading decisions.

KryptoSwiss reserves the right to suspend, restrict, or cancel orders or trades at its discretion, including but not limited to situations involving suspected market manipulation, system errors, or regulatory compliance concerns.

5. Fees

KryptoSwiss charges fees for certain transactions conducted on the Platform. A complete and up-to-date fee schedule is available on our website. By using the Services, you agree to pay all applicable fees as described in the fee schedule.

Fees are deducted automatically from your account at the time of transaction. KryptoSwiss reserves the right to modify its fee structure at any time, with notice provided to users at least 14 days prior to the effective date of any changes.

In addition to platform fees, you may incur network (gas) fees associated with blockchain transactions. These fees are paid to network validators and are not collected by KryptoSwiss. Network fees may vary based on network congestion and are outside of our control.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Services for money laundering, terrorist financing, or any other illegal activity
• Manipulating or attempting to manipulate the market, including wash trading, spoofing, or layering
• Accessing the Services from a restricted jurisdiction using VPNs or other circumvention tools
• Interfering with or disrupting the integrity or performance of the Platform
• Attempting to gain unauthorised access to other users' accounts or KryptoSwiss systems
• Using automated bots, scripts, or other tools to interact with the Platform without prior written authorization
• Engaging in any activity that violates applicable laws, regulations, or third-party rights

Violation of these prohibitions may result in immediate suspension or termination of your account, forfeiture of assets, and referral to appropriate law enforcement authorities.

7. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, icons, images, audio clips, software, and underlying code — are the exclusive property of KryptoSwiss AG or its licensors and are protected by Swiss and international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms. Any unauthorised use of KryptoSwiss's intellectual property is strictly prohibited.

8. Limitation of Liability

To the maximum extent permitted by applicable law, KryptoSwiss and its directors, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Services.

KryptoSwiss's total aggregate liability to you for all claims arising from or relating to the Services shall not exceed the amount of fees paid by you to KryptoSwiss during the twelve (12) months preceding the claim.

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, you agree to first attempt to resolve the matter through informal negotiation by contacting KryptoSwiss at support@kryptoswiss.io. If the dispute cannot be resolved through informal negotiation within thirty (30) days, either party may initiate formal proceedings.

Any disputes that cannot be resolved informally shall be submitted to binding arbitration administered by the Swiss Chambers' Arbitration Institution in accordance with the Swiss Rules of International Arbitration. The seat of arbitration shall be Zurich, Switzerland, and the language of arbitration shall be English.

10. Governing Law

These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply. Any legal proceedings not subject to arbitration shall be brought exclusively before the competent courts of the Canton of Zurich, Switzerland.

11. Changes to Terms

KryptoSwiss reserves the right to modify or replace these Terms at any time at its sole discretion. Material changes will be communicated to users via email or through a prominent notice on the Platform at least thirty (30) days prior to the effective date of the revised Terms.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue your use of the Services and close your account.
